What is a certificate of good standing?

A certificate of good standing—also called a certificate of status, certificate of existence, or certificate of authorization—”certifies that a company is properly registered with the state, is up to date on all state registration fees and required document filings, and is legally permitted to engage in business activities in the state,” according to Legal Zoom.

What is a certificate of good standing apostille?

In brief, a certificate of good standing apostille is a certification process that validates your company records for use abroad. Overseas parties may require an apostilled copy of your certificate of good standing as part of a legal proceeding or business transaction.

To give the documents legal status overseas, the relevant state office (often the Secretary of State or the Business Division) will look up your business records. If everything is in order, the office creates a certified copy and adheres an apostille certificate.

Generally, most of our requests for certificate of good standing apostilles come from companies organized in California or Delaware. We may be able to retrieve records from other states, as well.

How do I get a certificate of good standing apostilled or authenticated?

1. Email us for a price quote.

Pricing varies depending on what country it’s going to, your location, the turnaround time needed, and the shipping destination. For a quick price quote, send an email to [email protected] with the following information:

  • The name, address, phone number, and email address of the recipient (if you’d like us to ship it to a third party)
  • The destination country
  • The name the company and the state in which it was incorporated

We will respond ASAP with a price quote and payment instructions. Once we receive payment, we will start the apostille/authentication process.

2. We’ll take it from there.

For corporations organized in California, we will work directly with the California Business Programs Division and the California Secretary of State to retrieve an official, apostilled copy of the requested document. Corporations organized in Delaware require us to retrieve an official, gold-sealed copy from the Delaware Division of Corporations. Other states have different procedures for retrieving a certificate of good standing; accordingly, if your company was organized in another state, we will follow that state’s procedures.

Some countries require apostilles plus additional certifications, details of which we will provide in the price quote. Once the document is apostilled (or apostilled and authenticated/legalized), we’ll ship it via FedEx Priority Overnight Service (USA destinations) or FedEx International Priority Service (overseas destinations).
